Terms of Service

These Terms of Service ("Terms") govern your use of BinBook, a roll-off job management platform operated by Black Banner Printworks ("Company," "we," "us," or "our"). By creating an account you agree to these Terms.

1. Service Description

BinBook is a software-as-a-service (SaaS) platform that provides independent roll-off dumpster operators with job management, customer tracking, photo documentation, and billing tools. BinBook is a software tool only. We do not operate any dumpsters, trucks, or waste removal services.

2. Eligibility

You must be at least 18 years old and operating a lawful waste hauling or roll-off dumpster business to use BinBook. By using BinBook you represent that all information you provide is accurate and that you are authorized to operate your business in your jurisdiction.

3. Subscription and Billing

BinBook is offered at $49.00 per month following a 14-day free trial. A valid credit card is required to begin your trial. Billing begins automatically on day 15. You may cancel at any time before billing begins and you will not be charged. Subscriptions are billed monthly and automatically renew. We reserve the right to change pricing with 30 days notice.

4. Property and Equipment Liability Disclaimer

BinBook is a record-keeping and documentation tool. We are not responsible for any property damage, equipment damage, personal injury, or loss arising from your dumpster operations.

Specifically, and without limitation:

• We are not liable for damage to customer driveways, lawns, pavement, landscaping, fences, vehicles, structures, or any other property caused by the placement, removal, or overloading of dumpsters.
• We are not liable for pre-existing or disputed damage to dumpsters, bins, or hauling equipment.
• We are not liable for injuries to customers, third parties, or your employees arising from dumpster delivery, pickup, or usage.
• We are not liable for overweight loads, illegal dumping, or prohibited materials placed in dumpsters by your customers.
• Photo documentation stored in BinBook is provided as a convenience tool and does not constitute legal evidence. We make no guarantees regarding its admissibility or usefulness in disputes.

You are solely responsible for maintaining appropriate general liability insurance, commercial auto insurance, and any other coverage required by your state or local jurisdiction.

5. Your Responsibilities as an Operator

As a BinBook user and roll-off operator, you agree that you are solely responsible for:

• Obtaining all required permits, licenses, and authorizations to operate in your jurisdiction.
• Complying with all federal, state, and local laws governing waste hauling, disposal, and placement of dumpsters on public or private property.
• Accurately documenting job conditions, site access, and bin placement using BinBook's photo tools.
• Communicating weight limits, prohibited materials, and placement restrictions to your customers.
• Maintaining your own records for tax, legal, and regulatory purposes.

6. Data and Photos

You retain ownership of all data, photos, and customer records you upload to BinBook. You grant us a limited license to store and display that content to provide the service. We do not sell your data to third parties. We may use anonymized, aggregated usage data to improve the platform.

You are responsible for ensuring you have appropriate authorization to collect and store photos of customer properties. You agree not to upload illegal, defamatory, or privacy-violating content.

7. Data Loss Disclaimer

While we take reasonable precautions to maintain data integrity, we are not liable for any loss, corruption, or unavailability of data stored in BinBook, including job records, customer information, photos, or any other content, whether caused by hardware failure, software error, cyberattack, human error, or any other cause. You are responsible for maintaining your own backups of critical business records. BinBook is not a backup service.

8. Limitation of Liability

To the fullest extent permitted by law, Black Banner Printworks and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, property damage, or business interruption, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising out of or relating to these Terms or BinBook shall not exceed the total fees you paid to us in the three months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Black Banner Printworks, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of BinBook, your dumpster operations, your violation of these Terms, or your violation of any applicable law or regulation.

10. Termination

You may cancel your subscription at any time through your account settings or by contacting us. We may suspend or terminate your account for violation of these Terms, non-payment, or any conduct we determine to be harmful to other users or to the platform. Upon termination, your data will be retained for 30 days and then permanently deleted.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Worcester County, Massachusetts.

12. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by email or in-app notice at least 14 days before they take effect. Continued use of BinBook after changes take effect constitutes your acceptance of the new Terms.

13. Acceptable Use

You agree to use BinBook only for its intended purpose as a job management tool for legitimate roll-off dumpster operations. You may not use BinBook to:

• Transmit spam, malware, or any harmful or unlawful content.
• Attempt to gain unauthorized access to any part of the platform, its infrastructure, or other users' accounts.
• Use automated tools, bots, or scrapers to access or extract data from BinBook.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Use the platform in any way that violates applicable federal, state, or local law.

14. Intellectual Property and Proprietary Software

BinBook and all of its components — including but not limited to its source code, compiled code, user interface design, workflows, features, database architecture, pricing logic, business logic, visual design, branding, and documentation — are the exclusive proprietary property of Black Banner Printworks and are protected by United States and international copyright, trade secret, and intellectual property laws.

You are expressly prohibited from:

• Copying, reproducing, or replicating any portion of BinBook's design, functionality, code, or features for any purpose, including building a competing or derivative product.
• Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code, underlying algorithms, or structure of BinBook or any of its components.
• Using BinBook — including through a trial or paid subscription — for the purpose of studying, benchmarking, or replicating its features, workflows, or user experience for competitive purposes.
• Scraping, crawling, or using automated means to extract data, UI patterns, API structures, or any other technical or design information from the platform.
• Sublicensing, selling, renting, leasing, transferring, or otherwise making BinBook or any derived version of it available to third parties.
• Removing, obscuring, or altering any copyright, trademark, or proprietary rights notices displayed within or associated with BinBook.
• Using any BinBook feature, design pattern, pricing structure, or workflow as the basis for, or reference in building, any competing software product or service.

Any unauthorized use of BinBook's intellectual property constitutes a material breach of these Terms and may constitute copyright infringement, misappropriation of trade secrets, and/or unfair competition under applicable law. We reserve the right to immediately terminate access and pursue all available legal remedies, including injunctive relief and monetary damages, against any individual or entity that violates this section.

The BinBook name, logo, and tagline "by Black Banner" are trademarks of Black Banner Printworks. You may not use our trademarks without our prior written consent.
